Valle Verde ZF SAS is a company dedicated to the selection, classification and packaging of fresh Tahiti Lemons for export. We are committed to the quality and safety of our product and its processes, complying with the following principles:

  • Meet the specifications, requirements and expectations of customers and interested parties.

  • Comply with the safety, quality and legality requirements of the countries where the product is marketed and of the customers.

  • Implementation of strategic plans aimed at the objectives of the organization which will be measured through indicators that will be reviewed according to scheduled periodicity.

  • Promote continuous improvement of the integrated food safety and management system.

  • Propose strategies that facilitate internal and external communication channels.

OUR CODE OF ETHICS

Objectives of the Code of Ethics

This Code of Ethics establishes the principles of our organizational culture and the behaviors that are considered appropriate for our employees and interested parties, and must be known and understood by all, so that they can apply it in their actions, achieving a work environment based on respect for human rights and ethical actions.

It is a commitment of Valle Verde SAS With the labor regulations, principles and procedures that establish the guidelines for an adequate action of our collaborators and interested parties and the way to inform and clarify situations where there is doubt about ethical behavior or want to report a fact that is affecting the provisions established here by our company.

Scope of application

This Code of Ethics applies to all employees of Valle Verde SAS, regardless of their hierarchical level and their geographical location or their functions, and extends to our service providers, as well as workers on mission, practitioners and learners and stakeholders, who commit to deliver.

Within this, the guidelines are established that, added to the policies, Internal Work Regulations and other guidelines of our company, guide the conduct and behavior of our collaborators and allies, based on their good faith and good judgment, in addition to their responsibility for your actions or omissions.

No employee, regardless of their hierarchical level, may request another to commit an ethical misconduct that contravenes the provisions of this code and it will not be a justification for inappropriate conduct, that the worker states that he was following an order from a superior.

When a situation does not have a specific guideline, we hope that those who apply this code act within ethical principles and consult with their immediate boss if they require any guidance in this regard.

Ethical Provisions

Respect for Human Rights:

We reject that any of our stakeholders directly carry out or act as accomplices of practices that violate human rights. Likewise, we reject any type of payment destined to defray armed groups outside the law or that contribute to terrorism or money laundering. We definitively reject child labor or any form of forced labor and are committed to making this position known to interested parties, especially employees, suppliers and contractors.

Fair and impartial treatment:

At Valle Verde SAS we promote equitable treatment with all our stakeholders.

We defend the existence of fair conditions, in relation to access to employment and an adequate work environment. Therefore we do not accept any discriminatory treatment based on gender, race, color, nationality, social origin, age, marital status, sexual orientation, ideology, political opinions, religion or any other personal, physical (disease or disability) or social condition. .

Relationships based on respect and integrity:

We promote a suitable work environment where our collaborators respect differences and maintain cordial relationships based on dialogue and empathy for the other.

We foster relationships with suppliers, based on respect, fairness and mutual transparency, avoiding any type of fraud or improper action. Conflicts of Interest:

Coordinators and workers find ourselves in a situation of conflict of interest when, due to our functions, we must make a decision, or carry out or omit an action and we find ourselves in the possibility of choosing between the interest of the company and our own interest or that of a third party with whom we have some type of link, so that, by choosing the decision that benefits us, we would be compromising our objectivity or independence.

Faced with conflicts of interest, the actions of the Coordinators and employees of Valle Verde SAS must be governed by the principles of honesty, inhibition, confidentiality and the duty to report any situation of possible conflict of interest.

Service attitude:

We are committed to guaranteeing and maintaining quality standards in our services and to maintaining the relationship channels and procedures with customers and suppliers that allow us to receive their needs and perceptions about products and services.

Rejection of Fraud, Corruption and Bribery:

We reject that the Coordinators, workers or interested parties, acting in the name or on behalf of the Company, carry out practices considered as fraud, corruption or bribery in any of its forms. In this sense, under no circumstances do we accept that intentional acts are committed, by action or omission, to obtain an undue benefit to the detriment of the principles and interests of Our Company.

Coordinators and workers must carry out all our activities with the utmost care and skill in such a way that the good reputation of the Company is protected and the creation of value for interested parties is promoted. In this sense, bribes, illegitimate favors, complicity, the request or offer of personal benefits, directly or through third parties, are prohibited. Considering the above, in the relationship between the boss, Coordinators and Valle Verde SAS workers with third parties, we apply the following criteria:

  • Gifts and hospitality: Commercial courtesies, such as small gifts or forms of hospitality, as long as these do not compromise objectivity in decision-making, integrity, or the reputation of the company.

  • Participation in events: Participation in events is a way to establish and strengthen business relationships, stay updated in the industries in the sector, learn about technological developments and in general keep abreast of relevant issues for the Company. Participation in events is only allowed when it has a legitimate purpose, does not compromise impartiality in decision-making, reputation, or the integrity of the company.

  • Donations and social management: Donations to charitable organizations, entities and / or non-profit initiatives and the purposes of social management are a means to mitigate economic, environmental and social impacts and risks and create value for stakeholders. They are only allowed when they have a legitimate purpose, do not go against applicable regulations and do not compromise the reputation or integrity of the company.

  • Sponsorships: Sponsorships will be the strategy to strengthen relationships with stakeholders. These will only be allowed to strengthen the brand, as long as they do not go against applicable regulations or compromise integrity or reputation.

  • Undue payments to facilitate procedures: Payments to facilitate, secure or accelerate decisions to which the payer is entitled are expressly prohibited. It is not acceptable that a Chief, Coordinator or worker of Valle Verde SAS commercial partners, suppliers, contractors, intermediaries, and in general third parties acting on behalf of the Company make this type of payments.

Donations or contributions to political organizations: Valle Verde SAS does not finance or promote political parties, or their representatives or candidates, or any other activity whose purpose is political propaganda. For this reason, Coordinators and workers cannot use for this purpose the work spaces (information systems, internal or external meetings, among others), nor the resources of the company, these actions must be carried out in a personal capacity and outside their working day. Furthermore, the Company refrains from exerting any direct or indirect pressure in favor of a political party or candidate, nor does it promote any of its workers to do so.

Fair Competition:

We maintain honest, constructive and suitable relationships with our competitors. This implies, among other commitments:

  • To compete fairly in the markets without advertising misleading or denigrating the competition or third parties.

  • Obtain information on the competition, always legally.

  • Comply with the precepts of defense of competition, avoiding any conduct that constitutes or may constitute complicity, abuse or limitation of competition.

Environmental care:

We are committed to taking actions that prevent environmental impacts and protect the environment in the places where we operate, generating trust with stakeholders.

Compliance with Applicable Regulations:

We comply with all current regulations and regulations, respecting all instances of the legal system. It is our Company's commitment to provide the tools that facilitate understanding of the applicable regulations, establish the framework of action for Coordinators and workers and promote compliance with the regulations.

Coordinators and workers are responsible for understanding and applying the required regulations. Likewise, we demand that our suppliers and subcontractors and other interested parties comply with the regulations that apply to them.

CONSULTATION AND REPORT

In case of any doubt in the application of this Code or in the knowledge of any situation that could be contrary to the criteria that we have defined in this code or that generates any concern, the immediate manager should be informed and consulted , anonymously through the PQRSF mailbox located at the plant or by e-mail at teescuchamos@valleverdefruit.com and, if necessary, an analysis by the Ethics Committee will be requested.

In order for the situation to be properly analyzed and investigated, as much information as possible should be reported to allow for clear elements to accurately solve the query made. This information will be treated with strict confidentiality and whoever reports real or potential situations of non-compliance will not be subject to retaliation or obtain rewards for communicating these situations.

MONITORING

Compliance with this Code of Ethics and Conduct is supervised by the Plant Manager and the support areas In case of non-compliance with the Code of Ethics and Conduct, the Ethics Committee will inform the internally defined instance (s) for the procedures within its competence and to take corrections regarding non-compliance. This Code will be periodically reviewed and updated, when applicable, after evaluation by the Company.

SANCTIONSemployees

For who are found to have a violation or infringement of this Code, after complying with the disciplinary process established by the company, and respecting due process and the right of defense, will be subject to the pertinent disciplinary measures. Illegal acts, duly supported and analyzed, will have the administrative and legal response in accordance with the provisions of the applicable regulations, which may consist of dismissal from office, termination of the employment relationship and any other legal action.
